These Terms of Service ("Terms") govern your access to and use of UploadDoc, including our website, applications, document submission tools, vendor dashboards, payment flows, and related services. UploadDoc is operated under the jurisdiction of the Federal Republic of Nigeria.
1Acceptance of Terms
By accessing or using UploadDoc, creating an account, submitting a document, receiving documents as a vendor, or making a payment through the platform, you agree to these Terms.
If you are using UploadDoc for a business, school, organization, or other entity, you confirm that you have authority to accept these Terms on its behalf. If you do not agree to these Terms, you must not use UploadDoc.
2About UploadDoc
UploadDoc is a document submission and workflow platform that helps users submit documents to vendors, lecturers, schools, businesses, and other receiving organizations. Vendors can receive, review, accept, track, and manage submitted documents through their dashboard.
UploadDoc provides the software platform. Unless we expressly state otherwise, independent vendors are responsible for their own services, pricing, fulfillment, communication, and delivery to users.
3Eligibility and Account Registration
You must provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
In compliance with the Nigeria Data Protection Act (NDPA) 2023, children (defined as persons under the age of 18) must obtain the consent and supervision of a parent, legal guardian, or an authorized educational institution (which acts on behalf of the parent/guardian) to create an account or submit personal data on UploadDoc.
By using the service, you represent and warrant that you meet these eligibility requirements and have obtained all necessary consents if you are under 18.
4User Responsibilities
You are responsible for the documents, information, messages, and other content you upload or submit through UploadDoc. You must ensure that you have the right to submit and share that content with the selected vendor or organization.
Prohibited use: You may not upload, submit, or distribute illegal, harmful, fraudulent, abusive, defamatory, infringing, malicious, or unauthorized content through UploadDoc.
You must not interfere with the platform, bypass security controls, attempt unauthorized access, scrape the service, reverse engineer the platform, or use UploadDoc in a way that violates applicable law.
5Vendor Responsibilities
Vendors and receiving organizations must use submitted documents only for the purpose for which they were submitted. Vendors are responsible for reviewing submissions, communicating with users, fulfilling accepted requests, and complying with applicable law.
Vendors must not misuse submitted documents, disclose them to unauthorized persons, retain them outside UploadDoc longer than necessary, or use them for unrelated marketing, profiling, or resale.
6Document Storage and Retention
Uploaded documents are stored temporarily so UploadDoc can provide the document workflow. Pending documents remain accessible to the assigned vendor for 7 days before deletion. Accepted documents are retained for 30 days before deletion.
Users may delete documents earlier where the app allows it. Account deletion requests are handled as described in our Privacy Policy, subject to records we may need to retain for legal, payment, security, audit, or dispute-resolution purposes.
7Payments and Paystack
Payments on UploadDoc are processed by Paystack. By making a payment, you agree that Paystack may process your payment information according to its own terms and privacy practices. UploadDoc does not store your full card details.
Prices, fees, taxes, and service charges may vary by vendor, product, or transaction. You are responsible for reviewing payment details before confirming a transaction.
Refunds
Refunds are handled on a case-by-case basis. Unless required by law, refunds may not be available for completed services, accepted document workflows, or vendor services already fulfilled. If a payment error, duplicate charge, or platform-related issue occurs, contact us for review.
8Intellectual Property
You retain ownership of documents and content you upload. By uploading or submitting content, you grant UploadDoc a limited, non-exclusive, worldwide license to host, store, transmit, display, and process that content only as needed to operate the platform and provide the requested service.
UploadDoc, including its software, design, branding, workflows, and platform content, is owned by UploadDoc or its licensors and is protected by applicable intellectual-property laws.
9Privacy
Our collection, use, storage, sharing, and deletion of personal information is described in our Privacy Policy. By using UploadDoc, you agree that we may process information as described there.
10Service Availability and Changes
We may update, improve, suspend, limit, or discontinue parts of UploadDoc at any time. We do not guarantee that the platform will be uninterrupted, error-free, or available at all times.
We may perform maintenance, apply security updates, change features, or restrict access where needed to protect users, vendors, or the platform.
11Account Suspension and Termination
You may stop using UploadDoc at any time and may request deletion of your account by contacting us. We may suspend or terminate access if we believe you violated these Terms, created risk for the platform, infringed another person's rights, engaged in fraud, or used UploadDoc unlawfully.
Termination does not affect obligations that should reasonably survive, including payment obligations, ownership rights, disclaimers, limitations of liability, dispute terms, and legal compliance.
12Disclaimers
UploadDoc is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.
13Limitation of Liability
To the maximum extent permitted by applicable law, UploadDoc will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, data, goodwill, business, or opportunity, arising from or related to your use of the platform.
14Indemnity
You agree to defend, indemnify, and hold UploadDoc harmless from claims, losses, liabilities, damages, costs, and expenses arising from your content, your use of UploadDoc, your violation of these Terms, your violation of law, or your infringement of another person's rights.
15Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules.
Subject to any mandatory dispute-resolution process required by law, you agree that disputes arising from or relating to UploadDoc or these Terms will be handled by the competent courts of Nigeria.
16Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the date at the top of this page. If changes are material, we may provide additional notice through the app or by email. Your continued use of UploadDoc after changes take effect means you accept the updated Terms.
